1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Buji Development Corporation ("Agent Midas," "we," "our," or "us") governing your use of the Agent Midas platform, including all AI agents, workflows, software, documentation, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Agent Midas is an AI-powered marketing automation platform consisting of 25 specialized agents that automate content creation, social media management, lead generation, email marketing, analytics, and related business functions.

2.1 Service Packages

Foundation Package (Agents 0-10):

2.2 Implementation Options

DIY Setup:

White Glove Setup:

Priority support and ongoing optimization

Personalized strategy sessions

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement. The Service is intended for business and professional use only.

3.2 Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials

All activities that occur under your account

Notifying us immediately of any unauthorized access

Using strong, unique passwords for your account

We are not liable for any loss or damage arising from unauthorized account access due to your failure to maintain security.

3.3 Account Information

You agree to provide accurate, current, and complete information during registration and to update this information as needed. Providing false information may result in account termination.

4. Service Fees and Payment

4.1 Setup Fees

One-time setup fees:

DIY Foundation Package: $5,000

White Glove Foundation Package: $15,000

DIY Premium Package: $20,000

White Glove Premium Package: $25,000

Setup fees are non-refundable for DIY packages (digital products). White Glove packages include a 30-day setup guarantee (see Section 10.3).

4.2 Monthly Maintenance Fee

Recurring fee: $997/month (all packages)

Covers:

Third-party API usage fees (DeepSeek, Anthropic, Gemini, Perplexity, N8N, Voicelow, Murf, HeyGen.)

Platform hosting and infrastructure

Software updates and new features

Technical support

Security monitoring

Monthly fees are billed in advance on the same day each month and service is suspended after 7 days of non-payment

4.3 Payment Terms

All fees are in USD

Payment accepted via credit card, ACH transfer, or wire transfer

Monthly fees auto-renew unless canceled

Failed payments may result in service suspension after 7-day grace period

You are responsible for all taxes, duties, and government fees

4.4 Refund Policy

DIY Packages: Non-refundable (digital products delivered immediately)

White Glove Packages: 100% refund if we fail to complete setup within 30 days of purchase date

Monthly Maintenance: No refunds for partial months; cancel anytime before next billing cycle

4.5 Price Changes

We reserve the right to modify pricing with 30 days' advance notice. Price changes do not affect existing subscriptions until the next renewal period.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use the Service for lawful business purposes including:

Generating marketing content for your business

Publishing to social media platforms you own or manage

Building email lists from legitimate opt-ins

Analyzing engagement data for your content

Automating routine marketing tasks

5.2 Prohibited Uses

You may NOT use the Service Porn, Violence, Hate Moral Turpitude, Ponzi Schemes - Company Reserves Right to Decline any customer.

Content Violations:

Generate or distribute spam, unsolicited messages, or bulk communications

Create misleading, deceptive, or fraudulent content

Violate intellectual property rights of third parties

Produce content that is defamatory, obscene, or hateful

Impersonate any person or entity

Platform Abuse:

Violate terms of service of integrated platforms (LinkedIn, Twitter, Facebook, Google, etc.)

Scrape or harvest data from third-party platforms without authorization

Manipulate engagement metrics artificially (fake followers, bots, click farms)

Overwhelm our infrastructure with excessive API calls

Reverse engineer, decompile, or attempt to extract source code

Illegal Activities:

Promote illegal products, services, or activities

Facilitate money laundering, fraud, or financial crimes

Distribute malware, viruses, or harmful code

Violate export control or sanctions laws

Infringe on privacy rights or conduct unauthorized surveillance

Professional Misconduct:

Provide unlicensed legal, medical, financial, or professional advice through AI content

Misrepresent qualifications or credentials

Violate professional ethics codes or licensing requirements

5.3 Enforcement

We reserve the right to:

Monitor your use of the Service for compliance

Suspend or terminate accounts that violate this policy

Report illegal activities to law enforcement

Remove content that violates these Terms

Withhold refunds for accounts terminated due to violations

6. AI-Generated Content

6.1 Content Ownership

You own all AI-generated content created through the Service, including:

Blog posts and articles

Social media posts

Images and graphics

Email campaigns

Proposals and documents

However, you grant Agent Midas a limited license to use your content solely for:

Providing and improving the Service

Troubleshooting and quality assurance

Anonymized aggregate analytics (no personally identifiable information)

6.2 Content Responsibility

You are solely responsible for:

Reviewing all AI-generated content before publication

Ensuring accuracy, legality, and appropriateness

Compliance with industry regulations and professional standards

Fact-checking claims and citations

Obtaining necessary permissions for third-party references

Agent Midas does not:

Review or approve content before publication

Verify accuracy of AI-generated information

Assume liability for content you publish

Provide editorial or legal review services

6.3 Content Quality and Limitations

AI-generated content may contain:

Factual errors or outdated information

Biases inherent in training data

Stylistic inconsistencies

Inappropriate suggestions

You must review and edit all content. We make no guarantees about content quality, accuracy, or suitability for your purposes.

6.4 No Training on Your Data

We do NOT use your AI-generated content, business data, or customer information to train third-party AI models without your explicit consent. We do use anonymized data on all customers to train our AI algorithms for the use by all customers. Opting out is not an option.

7. Third-Party Integrations

7.1 Platform Connections

Agent Midas integrates with third-party platforms including:

Social Media: LinkedIn, Twitter/X, Facebook, Instagram, YouTube, TikTok

Google Services: Google Sheets, Google Drive, Google Calendar, Gmail

Email Marketing: MailChimp, SendGrid, ConvertKit

AI Services: OpenAI (GPT-4, DALL-E), Google Vertex AI, ElevenLabs, HeyGen

Analytics: Google Analytics, LinkedIn Analytics, Twitter Analytics

Other Tools: Calendly, Cal.com, Zapier, webhooks

7.2 Third-Party Terms

Your use of integrated platforms is subject to their respective terms of service, privacy policies, and acceptable use policies. You are responsible for:

Complying with all third-party platform terms

Maintaining valid accounts and credentials

Resolving disputes directly with third-party platforms

Paying any fees charged by third-party services

We are not liable for:

Third-party platform downtime, changes, or terminations

Violations of third-party terms that result in account suspension

Loss of data stored on third-party platforms

Changes to third-party APIs that affect Service functionality

7.3 OAuth and API Access

By connecting third-party accounts via OAuth:

You authorize Agent Midas to access your accounts for Service functionality

You can revoke access at any time through platform settings

We store OAuth tokens securely but cannot guarantee third-party security

Token expiration may require re-authentication

7.4 API Rate Limits

Third-party platforms impose rate limits on API calls. If you exceed limits:

Service functionality may be temporarily restricted

We may implement usage caps to prevent abuse

Additional charges may apply for premium API access (communicated in advance)

8. Social Media Authorization

8.1 Posting Authorization

By connecting social media accounts, you explicitly authorize Agent Midas to:

Publish posts, images, videos, and links on your behalf

Retrieve engagement metrics (likes, comments, shares, impressions)

Respond to comments and messages using AI

Schedule future posts

Edit or delete posts created through the Service

8.2 Your Responsibilities

You are responsible for:

Ensuring you have authority to post on behalf of organizations or clients

Complying with platform community guidelines and advertising policies

Reviewing scheduled posts before publication (if desired)

Monitoring published content for accuracy and appropriateness

Responding to crises or negative feedback

8.3 Platform Policy Changes

Social media platforms frequently change their policies, algorithms, and API access. We cannot guarantee:

Continued posting access to any platform

Consistent engagement or reach

Stable API functionality

Compatibility with future platform updates

If a platform restricts our access or changes terms, we will notify you promptly and offer alternatives where possible.

9. Data Usage and Storage

9.1 Data We Collect

Agent Midas collects and stores:

Business profile information (name, industry, preferences)

Social media credentials (OAuth tokens)

Generated content (blogs, posts, images)

Engagement metrics (likes, comments, shares)

Usage analytics (workflow executions, API calls)

Support communications

9.2 Data Storage Locations

Your data is stored in:

Google Sheets: Business profiles, content library, analytics

Google Drive: Media assets, documents, knowledge base

n8n Cloud: Workflow configurations, execution logs

Third-party APIs: Temporary transmission for service delivery

All storage locations use encryption in transit and at rest.

9.3 Data Retention

We retain your data:

Active accounts: Indefinitely while your subscription is active

Canceled accounts: 90 days after cancellation (unless you request immediate deletion)

Backups: Up to 1 year in disaster recovery systems

Aggregated analytics: Indefinitely in anonymized form

9.4 Data Portability

You can export your data at any time:

Download Google Sheets as CSV or Excel

Download media files from Google Drive

Export n8n workflows as JSON

Request complete data export via [email protected]

9.5 Data Deletion

To delete your data:

Cancel your subscription

Request deletion via [email protected]

We will delete or anonymize your data within 90 days

Some data may persist in backups for up to 1 year

10. Warranties and Disclaimers

10.1 Service "As-Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Merchantability: Fitness for a particular purpose

Non-infringement: Freedom from third-party claims

Accuracy: Correctness of AI-generated content

Availability: Uninterrupted or error-free operation

Security: Freedom from viruses or harmful components

Results: Specific outcomes, ROI, or business success

10.2 No Professional Advice

Agent Midas is a software tool, not a professional service provider. We do not:

Provide legal, financial, tax, medical, or professional advice

Replace licensed professionals or advisors

Guarantee compliance with industry regulations

Review content for legal or ethical issues

You are responsible for ensuring AI-generated content complies with all applicable laws, regulations, and professional standards.

10.3 White Glove Setup Guarantee

For White Glove packages only:

We guarantee to complete your setup within 30 days of purchase or provide a 100% refund. "Completion" means:

All purchased agents configured and operational

Successful test execution of all workflows

Live handoff and training session completed

Delays caused by client unavailability, third-party platform issues, or force majeure do not qualify for refunds.

10.4 Uptime and Availability

We strive for 99.5% uptime but do not guarantee uninterrupted service. Downtime may occur due to:

Scheduled maintenance (announced 24 hours in advance)

Emergency maintenance or security patches

Third-party platform outages (n8n, Google Cloud, OpenAI, etc.)

Network or infrastructure failures

Force majeure events

We are not liable for damages resulting from service downtime.

11. Limitation of Liability

11.1 Damages Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENT MIDAS' TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO AGENT MIDAS IN THE 12 MONTHS PRECEDING THE CLAIM.

11.2 Excluded Damages

AGENT MIDAS SHALL NOT BE LIABLE FOR:

Indirect damages: Lost profits, revenue, data, opportunities, or goodwill

Consequential damages: Business interruption, reputational harm, or competitive disadvantage

Punitive damages: Exemplary or punitive awards

Third-party claims: Disputes with social media platforms, customers, or competitors

AI errors: Inaccurate, offensive, or harmful AI-generated content

Platform changes: Loss of access due to third-party policy changes

11.3 Exceptions

Some jurisdictions do not allow limitation of implied warranties or exclusion of certain damages. In such cases, our liability is limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Agent Midas, its officers, directors, employees, contractors, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use or misuse of the Service

Content you generate, publish, or distribute

Violations of these Terms or applicable laws

Infringement of third-party intellectual property rights

Disputes with customers, clients, or business partners

Violations of third-party platform terms of service

False or misleading representations in your content

Unauthorized use of professional titles or credentials

This indemnification survives termination of your account.

13. Intellectual Property

13.1 Agent Midas IP

We own all intellectual property rights in:

The Agent Midas platform, software, and code

n8n workflows, templates, and configurations (exclusive to Agent Midas)

Documentation, guides, and training materials

Brand names, logos, and trademarks

Proprietary algorithms and methodologies

You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription term.

13.2 Your IP

You retain all rights to:

Your business name, brand, and trademarks

Content you provide (business profile, uploaded documents)

AI-generated content created through the Service

Customer data and contact lists

You grant us a license to use your data solely for providing the Service (see Section 6.1).

13.3 Feedback and Suggestions

If you provide feedback, ideas, or suggestions about the Service:

We may use them without compensation or attribution

You waive any intellectual property claims to such feedback

Feedback does not create any confidentiality obligation

14. Confidentiality

14.1 Confidential Information

"Confidential Information" includes:

Business strategies, processes, and trade secrets

Customer lists and contact information

Financial data and pricing information

Proprietary workflows and configurations

Non-public product features or roadmaps

14.2 Our Obligations

We agree to:

Protect your Confidential Information using reasonable security measures

Use your information only for providing the Service

Not disclose your information to third parties (except service providers under NDA)

Return or delete your information upon termination

14.3 Exceptions

Confidentiality obligations do not apply to information that:

Is publicly available through no fault of ours

Was lawfully known before disclosure

Is required to be disclosed by law or court order

Is independently developed without access to your information

15. Term and Termination

15.1 Term

These Terms begin when you create an account and continue until terminated by either party.

15.2 Termination by You

You may cancel your subscription at any time:

Log in to your account and select "Cancel Subscription"

Email [email protected] with cancellation request

Cancellation takes effect at the end of your current billing period

No refunds for partial months

You retain access until the end of your paid period

15.3 Termination by Us

We may suspend or terminate your account immediately if:

You violate these Terms or Acceptable Use Policy

Your payment fails and you don't update payment within 7 days

We suspect fraudulent, abusive, or illegal activity

We are required to do so by law or court order

We discontinue the Service (30 days' advance notice provided)

15.4 Effect of Termination

Upon termination:

Your access to the Service ends immediately (or at period end if you canceled)

We will cease generating content and posting on your behalf

Your data will be retained for 90 days, then deleted (unless you request immediate deletion)

You may export your data before or within 90 days of termination

All outstanding fees become immediately due and payable

Sections 6 (Content Responsibility), 10 (Warranties), 11 (Liability), 12 (Indemnification), 13 (IP), 14 (Confidentiality), and 16 (Dispute Resolution) survive termination

15.5 No Refunds Upon Termination for Cause

If we terminate your account for violations, no refunds will be provided.

16. Dispute Resolution

16.1 Informal Resolution

Before filing a legal claim, you agree to:

Provide reasonable information to help us understand and address your concern

Engage in good-faith negotiations for 30 days

Most disputes can be resolved through informal communication.

16.2 Binding Arbitration

If informal resolution fails, you agree that all disputes will be resolved through binding arbitration, not in court.

Arbitration terms:

Governed by the Federal Arbitration Act (FAA)

Administered by the American Arbitration Association (AAA)

Conducted under AAA's Commercial Arbitration Rules

Arbitrator's decision is final and binding

Each party bears its own costs (unless AAA rules provide otherwise)

Location:

Arbitration conducted virtually (video conference) or in your home state

Exceptions to arbitration:

Small claims court actions (under $10,000)

Injunctive relief for intellectual property violations

Collection of unpaid fees

16.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES INDIVIDUALLY, NOT AS PART OF A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION.

You waive any right to:

Participate in a class action lawsuit

Act as a class representative or private attorney general

Consolidate claims with other users

Seek relief on behalf of others

16.4 Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.

17. Modifications to Terms

17.1 Right to Modify

We reserve the right to modify these Terms at any time. Changes will be effective:

Immediately for new users

30 days after notice for existing users

17.2 Notice of Changes

We will notify you of material changes via:

Email to your registered address

Prominent notice on www.agentmidas.xyz

In-app notification

17.3 Acceptance of Changes

Continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to changes, you must cancel your subscription before the effective date.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Agent Midas regarding the Service, superseding all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

18.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any successor entity in connection with a merger, acquisition, or sale of assets.

18.5 Force Majeure

We are not liable for delays or failures to perform due to causes beyond our reasonable control, including:

Natural disasters (earthquakes, floods, hurricanes)

War, terrorism, or civil unrest

Government actions or regulations

Internet or telecommunications failures

Third-party platform outages (OpenAI, Google, LinkedIn, etc.)

Pandemics or public health emergencies

18.6 Relationship of Parties

Agent Midas is an independent contractor. These Terms do not create a partnership, joint venture, employment, or agency relationship.

18.7 Notices

All notices must be sent to:

18.8 Language

These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version controls.

If you do not agree to these Terms, do not use the Service.
